Terms of Use

Please read these Terms of Use ("Terms") carefully before accessing or using the IDiagnose platform ("IDiagnose," "we," "us," or "our"). These Terms constitute a legally binding agreement between you ("University," "you," or "your") and IDiagnose regarding your use of our software and services (collectively, the "Services").

By entering into a licensing agreement with us and accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Services.

1. Acceptance of Terms

By entering into a licensing agreement and accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and any additional terms and conditions applicable to certain programs in which you may elect to participate.

2. License Grant

2.1 License to University

Subject to these Terms and the terms of the separate licensing agreement ("Licensing Agreement") between IDiagnose and the University, we grant the University a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for educational purposes during the term specified in the Licensing Agreement.

2.2 Authorized Users

The University may permit a specified number of its students ("Authorized Users") to access and use the Services under the University's supervision. The number of Authorized Users is limited to the number of licenses purchased by the University as set forth in the Licensing Agreement.

2.3 Restrictions

The University shall not, and shall ensure that its Authorized Users do not:

  • Copy, modify, or create derivative works of the Services or any component thereof.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services.
  • Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make the Services available to any third party except as expressly permitted under these Terms.

3. University's Responsibilities

3.1 Compliance with Terms

The University is responsible for ensuring that all Authorized Users comply with these Terms and any additional policies provided by IDiagnose.

3.2 Account Security

The University shall be responsible for maintaining the confidentiality of all login credentials provided to Authorized Users and for all activities that occur under these accounts. The University agrees to notify us immediately of any unauthorized use of any account or any other breach of security.

3.3 User Data

The University acknowledges that it is responsible for obtaining all necessary consents and permissions from Authorized Users for the collection, use, and disclosure of their personal data as outlined in our Privacy Policy.

4. Fees and Payment

4.1 Licensing Fees

The University agrees to pay all fees specified in the Licensing Agreement. All fees are payable in the currency and manner specified in the Licensing Agreement.

4.2 Late Payments

Any late payments shall be subject to interest charges as specified in the Licensing Agreement or, if not specified, at the maximum rate permitted by law.

4.3 Taxes

All fees are exclusive of taxes, and the University is responsible for paying all applicable taxes, duties, or charges imposed by any governmental authority.

5. Term and Termination

5.1 Term

These Terms commence on the Effective Date and continue for the duration specified in the Licensing Agreement, unless earlier terminated in accordance with these Terms.

5.2 Termination for Cause

Either party may terminate these Terms and the Licensing Agreement immediately upon written notice if the other party materially breaches any provision and fails to cure such breach within thirty (30) days after receiving written notice.

5.3 Effects of Termination

Upon termination or expiration of these Terms:

  • The University's and Authorized Users' rights to access and use the Services will immediately cease.
  • The University shall pay any outstanding fees due up to the date of termination.

6. Intellectual Property Rights

6.1 Ownership

IDiagnose and its licensors retain all right, title, and interest in and to the Services, including all related intellectual property rights. These Terms do not grant the University or any Authorized User any ownership interest in or to the Services.

6.2 Feedback

The University and Authorized Users may provide suggestions, comments, or feedback regarding the Services ("Feedback"). IDiagnose may use such Feedback without restriction and without any obligation to the University or Authorized Users.

7. Confidentiality

7.1 Definition

"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), either directly or indirectly, in writing, orally, or by inspection of tangible objects, that is designated as "Confidential" or that reasonably should be understood to be confidential given the nature of the information.

7.2 Obligations

The Receiving Party shall:

  • Use the Confidential Information only for purposes of fulfilling its obligations under these Terms.
  • Not disclose Confidential Information to any third party except to those who need to know such information for the purposes of these Terms and who are bound by confidentiality obligations at least as protective as those herein.

8. Data Protection and Privacy

The University acknowledges and agrees to our Data Strategy and Privacy Policy, which outlines how we collect, use, store, and protect personal data. The University is responsible for ensuring that its Authorized Users are aware of and consent to the processing of their personal data as described in our Privacy Policy.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

9.1 Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through confidential binding arbitration in accordance with the London Court of International Arbitration (LCIA) rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
